1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Governance Intelligence Layer ("GIL"), including all associated websites, applications, APIs, dashboards, integrations, and services operated by People Axis Consultants ("Company", "we", "our", or "us").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

If you use the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Services

GIL is a cloud-based Software-as-a-Service (SaaS) platform designed to help organizations monitor, measure, and improve governance, operational performance, financial health, workforce effectiveness, project execution, vendor management, and business intelligence through analytics, automation, AI-powered insights, alerts, dashboards, and reporting.

The Company may modify, update, enhance, suspend, or discontinue features at any time.

3. Account Registration

To access certain features, users may be required to create an account. You agree to:

• Provide accurate and complete information.
• Maintain the security of your credentials.
• Restrict access to authorized personnel only.
• Promptly notify us of any unauthorized access.

You are responsible for all activity under your account.

4. Subscription Plans

Access to the Platform is provided under subscription plans offered by the Company. Subscription plans may include different:

• Features
• Usage limits
• User limits
• Storage limits
• Data retention periods
• Integration capabilities

5. Billing and Payments

Subscription fees are:

• Payable in advance unless otherwise agreed.
• Exclusive of applicable taxes.
• Non-refundable except where required by law.

Failure to make payment may result in suspension or termination of services.

The Company reserves the right to revise pricing upon reasonable notice.

6. Customer Data Ownership

Customers retain all ownership rights in data uploaded, entered, imported, generated, or stored within the Platform. The Customer grants the Company a limited, non-exclusive license to:

• Host data.
• Store data.
• Process data.
• Analyze data.
• Generate reports and insights.
• Provide platform functionality.

The Company does not acquire ownership of customer data.

7. Customer Responsibilities

Customers are responsible for:

• Accuracy of submitted information.
• Obtaining necessary permissions to upload data.
• Compliance with applicable laws.
• Maintaining internal controls over data access.
• Reviewing outputs generated by the Platform.

8. Artificial Intelligence and Automated Insights

The Platform may use artificial intelligence technologies to generate:

• Insights
• Recommendations
• Summaries
• Alerts
• Analytics
• Natural language responses

AI-generated outputs are provided for informational purposes only. The Platform does not provide:

• Legal advice
• Financial advice
• Accounting advice
• Tax advice
• Investment advice
• Regulatory advice

Customers remain solely responsible for all business decisions.

9. WhatsApp and Messaging Features

Where enabled, the Platform may provide WhatsApp-based communication, notifications, and intelligence features. Customers are responsible for:

• Obtaining required recipient consent.
• Complying with messaging regulations.
• Ensuring lawful communication practices.

The Company is not responsible for misuse of messaging functionality.

10. Acceptable Use

You agree not to:

• Violate any applicable law.
• Upload harmful code.
• Attempt unauthorized access.
• Circumvent security measures.
• Reverse engineer the Platform.
• Interfere with system operations.
• Use the Platform for unlawful or fraudulent purposes.

Violation may result in immediate suspension or termination.

11. Intellectual Property

All rights, title, and interest in the Platform, including:

• Software
• Algorithms
• Models
• Documentation
• Reports
• Dashboards
• Trademarks
• Designs

remain the exclusive property of People Axis Consultants.

No ownership rights are transferred to customers.

12. Confidentiality

Each party agrees to protect confidential information received from the other party and use such information solely for purposes related to the Platform.

Confidentiality obligations survive termination.

13. Third-Party Services

The Platform may integrate with third-party providers including accounting systems, HR systems, CRM platforms, cloud services, messaging services, and analytics tools. The Company is not responsible for:

• Availability of third-party services.
• Third-party security practices.
• Third-party outages.
• Third-party data accuracy.

14. Availability

The Company will make reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free service.

The Platform is provided on an "as available" and "as is" basis.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Company disclaims all warranties, whether express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability

16. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

• Indirect damages
• Special damages
• Incidental damages
• Consequential damages
• Loss of profits
• Loss of revenue
• Loss of data
• Business interruption

The Company's total liability shall not exceed the fees paid by the customer during the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless People Axis Consultants, its employees, directors, affiliates, and contractors from claims arising from:

• Your use of the Platform.
• Your uploaded data.
• Violation of these Terms.
• Violation of applicable law.

18. Suspension and Termination

The Company may suspend or terminate access where:

• Subscription fees remain unpaid.
• Security concerns arise.
• These Terms are violated.
• Required by law.

Upon termination, access may be revoked and customer data may be retained for a limited export period before deletion.

19. Governing Law

These Terms shall be governed by the laws of India.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

20. Changes to Terms

The Company may update these Terms periodically. Continued use of the Platform after publication of revised Terms constitutes acceptance of the updated Terms.
